The application for approval of transaction shall be submitted with the Russian Ministry regulating the sector of economics where the Russian entity, whose shares are being sold, is active.<\/li>\n\n\n\n<li>On December 22, 2022, the Commission adopted the following <strong>formal conditions (requirements) for approval of the sale of shares :<\/strong>\n<ul class=\"wp-block-list\">\n<li>Demand for approval shall be accompanied by the <strong>share valuation report prepared by the independent appraiser;<\/strong><\/li>\n\n\n\n<li>Selling price of shares shall be established with a <strong>discount of at least 50%<\/strong> of the market value indicated in the share valuation report;<\/li>\n\n\n\n<li><strong>Key performance indicators (KPIs)<\/strong> shall be previewed for the acquirer(s); and<\/li>\n\n\n\n<li><strong>SPA shall provide for a payment of the selling price in instalments during 1-2 years OR<\/strong> a voluntary contribution of at least <strong>10% of the amount of transaction shall be made to the federal budget<\/strong> (by any party of the transaction).<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<p class=\"has-text-align-right has-text-align-center\">New Requirements for Distribution of Dividends in Russian Companies<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>On December 2022, the Commission also established new conditions that shall be applied while considering the <strong>demands for approval of distribution of the dividends in Russian entities to the foreign shareholders associated with the \u201cunfriendly\u201d states:<\/strong>\n<ul class=\"wp-block-list\">\n<li>Dividends to be paid shall not exceed <strong>50% of the Russian entity\u2019s net profit<\/strong> for the previous reporting year;<\/li>\n\n\n\n<li><strong>Retrospective analysis of the distribution of dividends<\/strong> for the previous periods shall be made (to demonstrate consistent dividend distribution policy);<\/li>\n\n\n\n<li>Foreign shareholders shall <strong>undertake to continue commercial activities in Russia<\/strong> (a \u201cguarantee letter\u201d to be submitted);<\/li>\n\n\n\n<li><strong>\u201cThe significance\u201d<\/strong> of the relevant Russian company\u2019s activities and its <strong>\u201cimpact on the technological and industrial independence of Russia or its regions, as well as their socio\u0002economic development\u201d<\/strong> shall be assessed (the criteria for assessment of the \u201csignificance\u201d and of the \u201cimpact\u201d shall be established by the government body competent in the relevant Russian entity\u2019s field of activity);<\/li>\n\n\n\n<li>Competent government body shall establish <strong>quarterly KPIs<\/strong> for the relevant Russian entity;<\/li>\n\n\n\n<li>Dividends may be distributed on a <strong>quarterly basis<\/strong>, subject to the fulfillment of the established KPIs by the relevant Russian entity.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<p class=\"has-text-align-right wp-block-paragraph\">Source: <a for Transactions with Shares in Russian LLCs<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Russian natural persons may carry out <strong>gratuitous<\/strong> transactions (without consideration) entailing, directly and (or) indirectly, <strong>the termination of ownership rights of foreign natural persons from \u201cunfriendly\u201d states in respect of shares in Russian limited liability companies<\/strong>, or other rights which allow to determine the conditions of management of LLCs, and (or) the conditions for their business activity.<\/li>\n\n\n\n<li>The aforementioned exemption applies only if the parties to the transaction are <strong>spouses or close relatives<\/strong>.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-center\">Updates in the Regime of a \u201cC-type\u201d Bank Account<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Bank of Russia has updated the regime of a \u201cC-type\u201d account (bank account, a depot ccount, subaccount of a depot account, a brokerage account, and a trading bank account).<\/li>\n\n\n\n<li>A list of operations for crediting and debiting funds using such accounts has been defined.<\/li>\n\n\n\n<li>A previous decision of the Board of Directors of the Bank of Russia dated June 24, 2022 has been canceled.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-text-align-right wp-block-paragraph\">Source: <a of the Board of Directors of the Bank of Russia dated November 21, 2022<\/a><\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-center\">Foreign Currency Loans to Non-Residents from \u201cFriendly\u201d States<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Commission has extended the possibility for <strong>Russian residents to provide loans in foreign currency to non-residents from \u201cfriendly\u201d states<\/strong> until March 31, 2023.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-center\">Extension of the Ban on Certain Operations with Shares of Foreign Companies<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The <strong>ban for Russian residents<\/strong> to (1) <strong>pay for stakes, deposits or shares in the share capital of non-resident legal entities<\/strong> (irrespective of whether they are from \u201cfriendly\u201d or \u201cunfriendly\u201d jurisdiction) and (2) <strong>make a transfer<\/strong> or any contribution whatsoever <strong>under a joint venture agreement<\/strong> has been extended until December 31, 2023.<\/li>\n\n\n\n<li>Exempt from such ban are:\n<ul class=\"wp-block-list\">\n<li>Payments in RUB or currency of a \u201cfriendly\u201d state, or<\/li>\n\n\n\n<li>Payments in currency of an \u201cunfriendly\u201d state not exceeding the equivalent of 15M RUB.<\/li>\n\n\n\n<li>Payments in currency of an \u201cunfriendly\u201d state provided that there is a clearance of the Bank of Russia.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<p class=\"has-text-align-right wp-block-paragraph\">Source: <a class=\"wp-block-heading has-text-align-center\">Russian Parliament Expanded the List of Permitted Currency Operations between Residents<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>From December 16, 2022, Russian residents may perform mutual settlements for the payment of monetary claims in foreign currency assigned by non-residents to residents under foreign trade contracts, provided that non-residents:\n<ul class=\"wp-block-list\">\n<li>Transfer goods to Russian residents under foreign trade contracts, perform work, services, etc.;<\/li>\n\n\n\n<li>Have monetary claims to Russian residents under these contracts or to financial agents (factors) who are Russian residents.<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>Currency control agents may request documents on such transactions.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-center\">Continuing Ban on Exit from Russian Investments in Certain Industries<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Presidential Decree No. 520 dated August 5, 2022, has been <strong>extended until December 31, 2023<\/strong>.<\/li>\n\n\n\n<li>The Decree introduced an <strong>overall ban on transactions with certain assets, such as securities in certain Russian companies and interests in certain Russian investment projects<\/strong>, if these securities and interests are owned by persons from \u201cunfriendly states\u201d or persons under their control.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-text-align-right wp-block-paragraph\">Source:<a href=\"http:\/\/publication.pravo.gov.ru\/Document\/View\/0001202212050098\">Decree of the President of the Russian Federation No. 876 dated December 5, 2022<\/a><\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-center\">Extension of the Permission for Russian Retailers to Use the Retail Facilities of Foreign Companies that Have Left Russia<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>According to Federal Law \u201cOn the Fundamentals of State Regulation of Trade Activities in the Russian Federation\u201d No. 381-FZ dated December 28, 2009, a retailer whose market share in the particular Russian region exceeds 25% cannot buy or rent additional retail space.<\/li>\n\n\n\n<li>On June 15, 2022, a <strong>temporary exemption<\/strong> from this restriction was introduced for acquisition or lease by the Russian retailer of the additional retail space, the owners of which were foreign companies which have left Russia.<\/li>\n\n\n\n<li>The validity of the aforementioned exemption was <strong>extended until the end of 2023<\/strong>.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-text-align-right wp-block-paragraph\">Source: <a
